THE MANAGEMENT CODE

NICK ALDIERO BASKETBALL LLC

These Terms & Conditions ("Agreement") govern the purchase and use of "The Management Code" ("Product"), a digital e-book and video course offered by Nick Aldiero Basketball LLC ("Company," "we," "us," or "our"). By purchasing, accessing, or using the Product, you ("Customer," "you," or "your") agree to be bound by this Agreement. If you do not agree to these terms, do not purchase, download, access, or use the Product.

1. ALL SALES FINAL – NO REFUNDS, EXCHANGES, OR CREDITS

1.1. Non-Refundable Purchase: All sales are final. Due to the digital nature of the Product, no refunds, returns, chargebacks, credits, or exchanges will be issued for any reason, including but not limited to:

  • Change of mind
  • Accidental purchase
  • Lack of satisfaction
  • Inability to access the Product due to personal technical issues
  • Perceived lack of results or effectiveness
  • Any other reason

1.2. No Exceptions: By purchasing the Product, you acknowledge and agree that you will not be eligible for a refund or any form of compensation under any circumstances.

1.3. Unauthorized Chargebacks: Any attempt to dispute or reverse a charge (chargeback) through your payment provider or financial institution will be considered a breach of this Agreement. We will provide proof of your purchase and explicit acceptance of these terms to your payment provider, and you will remain liable for the full purchase amount, plus any fees incurred due to the chargeback.

2. PRODUCT ACCESS & DELIVERY

2.1. Instant Access: Upon successful payment, the Product will be made available to you via the email address provided at checkout or through a secure member portal.

2.2. Access Responsibility: You are solely responsible for ensuring that:

  • You provide a valid email address during purchase.
  • You check your email, including spam/junk folders, for delivery instructions.
  • You have a stable internet connection and compatible device to access the e-book and video course.

2.3. No Replacement for Lost Access: If you lose access to the Product due to lost credentials, accidental deletion, or any other reason, you are responsible for recovering access. We do not provide additional downloads or replacements.

3. LICENSE & RESTRICTIONS

3.1. Personal Use Only: Your purchase grants you a single, non-transferable, non-exclusive license to access and use the Product for personal, non-commercial purposes only.

3.2. Prohibited Actions: You agree that you will NOT:

  • Share, distribute, resell, lease, or license the Product to any third party.
  • Copy, modify, reproduce, or create derivative works of the Product.
  • Reverse engineer, decompile, or attempt to extract the source code from any digital files.
  • Upload or share the Product on any public or private forum, website, or peer-to-peer network.

3.3. Legal Action for Violations: Any unauthorized use, distribution, or reproduction of the Product will be considered a violation of intellectual property law, and we reserve the right to pursue legal action, including but not limited to seeking damages, injunctive relief, and attorney fees.

4. DISCLAIMERS & LIMITATION OF LIABILITY

4.1. No Guarantees: The Product is provided "AS IS" without any guarantees or warranties, express or implied. We do not guarantee any specific results from the use of the Product.

4.2. Use at Your Own Risk: You acknowledge that any reliance on the Product is at your own risk. We are not responsible for any outcomes, decisions, or financial losses resulting from your use of the Product.

4.3. Technical Issues: While we make every effort to ensure smooth access, we do not guarantee uninterrupted availability of the Product. We are not responsible for service disruptions due to internet issues, platform maintenance, or third-party provider failures.

4.4. Limitation of Liability: In no event shall Nick Aldiero Basketball LLC, its owners, employees, or affiliates be liable for any indirect, incidental, consequential, or punitive damages arising from the use of or inability to use the Product, even if advised of the possibility of such damages.

5. PAYMENT AUTHORIZATION & FRAUD PREVENTION

5.1. Authorized Transactions Only: By purchasing the Product, you confirm that:

  • You are legally authorized to use the payment method provided.
  • You have sufficient funds or credit available for the purchase.
  • You understand and accept that all charges are final and cannot be disputed.

5.2. Fraudulent Disputes: If a chargeback is filed under false pretenses (e.g., claiming the purchase was unauthorized despite full knowledge of the transaction), we reserve the right to:

  • Pursue legal action to recover the full amount.
  • Report fraudulent activity to your financial institution and relevant authorities.

6. MODIFICATIONS & TERMINATION

6.1. Changes to Terms: We reserve the right to modify or update these Terms & Conditions at any time without prior notice. Your continued use of the Product after modifications constitute acceptance of the updated terms.

6.2. Account Termination: We reserve the right to terminate your access to the Product without refund if we determine that you have violated any terms of this Agreement.

7. GOVERNING LAW & DISPUTE RESOLUTION

7.1. Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to conflict of law principles.

7.2. Binding Arbitration: Any dispute arising out of or relating to this Agreement shall be resolved exclusively through binding arbitration in Monmouth or Ocean County, New Jersey. You waive the right to a trial by jury or to participate in a class action lawsuit.

7.3. Legal Fees: In the event of a dispute, the prevailing party shall be entitled to recover all reasonable attorney fees and legal costs incurred.

8. ENTIRE AGREEMENT

This Agreement constitutes the full and complete understanding between the parties regarding the Product. No verbal or prior written representations shall modify or supersede these terms.

By purchasing "The Management Code," you confirm that you have read, understood, and irrevocably agree to these Terms & Conditions.

ACKNOWLEDGMENT & ACCEPTANCE

✔ I acknowledge that I am purchasing a digital product that is non-refundable, non-transferable, and that all sales are final.

✔ I understand that I am solely responsible for my access, use, and results from this Product.

✔ I agree that any attempt to dispute the charge will result in legal action and financial liability for all related costs.
